Substrate AI acquires Secure HR in the U.S. and expands its HR operations

June 2025. Substrate AI, the Spanish artificial intelligence company listed on the BME Growth, has acquired the American company Secure HR, with its trademark Lanteria, based in Miami through its US subsidiary for two million euros. The transaction will be executed once Substrate AI closes the financing and the purchase will be carried out as follows: a payment of $500,000 together with another payment of $1 million, to refinance debts of the company, at closing and $500,000 paid in 18 equal installments over the next few months.

Secure HR, which sells HR software in the US mainly under the brand name Lanteria, was created in 2006 by Sergey Balukon and Andrey Bukhtiyarov, to implement a powerful HR tool based on Microsoft Sharepoint. Today Lanteria is used by more than 300 companies and 250,000 users mainly in the US but also in Asia or Europe and has customers such as FirstCaribbean International Bank, South Hook Lng, Freemont Management SA, OSM Group AS, Tamaki Health, Daugherty Business Solutions, among others.

Substrate AI will integrate Lanteria into the operations of Fleebe AI, its human resources subsidiary that already sells its own AI-enabled HR software under the name Fleebe Corporate, making it grow in clients and solutions where it will implement its AI technology to further enhance the services offered. With this strategy, Fleebe AI will continue to grow as a 360 AI-based HR company already offering all kinds of services to clients such as NTT data or Pepsi in various international markets.

Substrate AI, listed on BME Growth since May 2022, operates as a holding company for companies that apply artificial intelligence to generate efficiencies and accelerate the transition to a more sustainable economy. It is currently developing a strategic plan that consists of listing its subsidiaries and initiating the development of its computing infrastructure, with its first AI factory in Talavera de la Reina, which it intends to build soon.
